GPC IT Terms & Conditions and Liability Disclaimer.



1. Scope and Definitions
This document outlines the terms and conditions under which GPC IT provides consulting services. "GPC IT" refers to our consulting entity, and "Client" refers to any party engaging in business with GPC IT.


2. Services and Limitations of Liability
GPC IT provides consultancy services on an advisory basis only. The recommendations and advice offered are intended for informational purposes and do not constitute a guaranteed outcome. GPC IT limits its liability for any damages directly resulting from consultancy actions to the total fees paid for the respective project. This limitation does not apply to damages caused by gross negligence or intentional misconduct, as per Dutch Civil Code Article 6:74 and Article 6:248, which prevent liability exclusions in cases of intentional or recklessly negligent actions.


3. Exclusion of Consequential Damages
GPC IT is not liable for indirect or consequential damages, including but not limited to loss of revenue, profits, business, or anticipated savings. This exclusion complies with Dutch contract law, allowing businesses to exclude indirect damages, provided this is clearly stated and agreed upon in the terms (per Dutch Civil Code Article 6:95 and 6:96).


4. Compliance and Professional Standards
GPC IT complies with Dutch professional and ethical standards, including applicable data protection and privacy laws. However, we cannot be held responsible for any compliance failures on the part of the client or any third-party service providers involved.


5. Force Majeure
GPC IT is not liable for any failure to perform obligations due to circumstances beyond reasonable control, such as natural disasters, government restrictions, or other force majeure events.


6. General Liability Limitations
All claims arising from services rendered by GPC IT must be reported within one year of the completion date of the respective project. This aligns with Dutch statutory limitation periods for performance claims in consultancy agreements, which typically require action within one year to five years, depending on the nature of the claim (Dutch Civil Code Article 3:310).


7. Governing Law and Jurisdiction
These Terms and Conditions are governed by Dutch law. Any disputes arising will be subject to the jurisdiction of the courts in the Netherlands, in compliance with Dutch contract law on jurisdiction and enforceability.




8. Intellectual Property Rights
All content, materials, methodologies, and proprietary information provided by GPC IT during consultations are protected by copyright and other intellectual property rights. The Client is granted a non-transferable, non-exclusive license to use the deliverables solely for their internal purposes. Clients are not permitted to reproduce, redistribute, or publicly disclose these materials without prior written consent from GPC IT.


9. Third-Party Services and Links
Consultations may involve references or links to third-party resources and services. GPC IT is not responsible for the content, performance, or actions of any third parties and does not guarantee the accuracy or reliability of information obtained through external sources. Engaging with third-party resources is solely at the Client's discretion and risk.


10. Confidentiality and Data Protection
GPC IT maintains strict confidentiality concerning all client information and data in compliance with GDPR and other Dutch privacy laws. Clients are also expected to respect any confidential information disclosed by GPC IT. This confidentiality obligation remains in effect after the termination of the consulting engagement.


11. Non-Waiver and Severability
Failure by GPC IT to enforce any provision of these Terms does not constitute a waiver of that provision or any other term. If any part of these Terms is found to be unenforceable under Dutch law, all other provisions remain in effect.


12. Entire Agreement and Amendments
These Terms and Conditions constitute the entire agreement between GPC IT and the Client. No other agreements, warranties, or representations are binding unless expressly incorporated herein. GPC IT reserves the right to amend these terms at any time, with changes effective upon publication on our website.

Client’s Own Compliance Responsibility

GPC IT provides consultancy advice, but each client is ultimately responsible for ensuring they remain compliant with local laws in their jurisdiction. This keeps any responsibility for applying our advice in line with legal requirements firmly within your domain.



Terms Updates

Our terms are designed to evolve as business practices and laws change. New terms and updates take effect the moment they are published on our website. Clients are encouraged to review these updates periodically, as we aim to provide the most relevant and current service possible.
